Sunday Soul Notes, LLC Affiliate Program Policies & Agreement

1. DEFINITIONS

For purposes of this Agreement:

• “Company,” “we,” “us,” or “our” means Sunday Soul Notes, LLC.
• “Affiliate” or “you” means an individual or entity approved to participate in the Affiliate Program.
• “Affiliate Program” means the Sunday Soul Notes, LLC affiliate marketing program governed by this Agreement.
• “Affiliate Link” means a unique tracking link issued to an Affiliate for referral purposes.
• “Customer” means an end user who completes a qualifying purchase through an Affiliate Link.
• “First-Time Customer” means a customer determined solely by the Company, based on its internal records, to have not previously completed a purchase with the Company.
• “Commission” means the referral fee earned on a qualifying First-Time Customer purchase, as described in this Agreement.
• “Affiliate Tool” means the software or platform provided by the Company to manage affiliate participation, tracking, and reporting.

2. NON-EXCLUSIVITY

This Agreement does not create an exclusive relationship between the parties.
Both the Company and the Affiliate may engage in similar relationships with other parties, provided such activities do not violate this Agreement.

3. AFFILIATE ELIGIBILITY & ACCEPTANCE

Eligibility

• This Agreement also includes the terms and conditions under our website’s Terms of Use.
• Participation in the Affiliate Program is limited to legal residents of the United States.
• Commissions are paid only in U.S. dollars and only to U.S.-based affiliates.

Application & Approval

• Submission of an application does not guarantee acceptance.
• The Company reserves the right to approve or reject any application at its discretion.
• Failure to complete onboarding requirements within fourteen (14) days of acceptance may result in termination.

4. COMMISSION STRUCTURE

Commission Rate

• Affiliates earn a one-time commission of fifteen percent (15%) on a First-Time Customer’s first qualifying purchase only.

Discounted Orders

• Commissions are calculated after all discounts, promotions, credits, and coupon codes are applied.
• Taxes, shipping, and store credit are excluded from commission calculations.

Attribution & Tracking

• Attribution Model: First-click attribution
• Cookie Duration: Ninety (90) days from the initial click
• Commission is earned only if the First-Time Customer completes their first purchase within the cookie window.

Commission Modifications

• The Company reserves the right to modify commission rates or structures upon written notice to Affiliates.
• Any changes will apply prospectively and will not affect commissions already earned prior to the effective date of the change.

Commission Exclusions

No commissions are earned on:

• Repeat or subsequent purchases by the same Customer
• Taxes, shipping, or store credit
• Refunded, canceled, or charged-back orders
• Affiliate’s own purchases
• Purchases not tracked through approved Affiliate Links
• Orders placed through non-approved platforms or channels

5. PAYMENTS, FORFEITURE & TAXES

Minimum Payout

• A minimum balance of $20.00 USD is required before commissions are paid.

Payment Schedule

• Approved commissions are paid on the 5th of each month for the prior month’s earnings.
• Payments are issued via PayPal in U.S. dollars.

Required Information & Forfeiture

Affiliates must:

1. Maintain an active affiliate account
2. Provide valid PayPal payment details
3. Submit required tax documentation when legally required

Failure to provide required payment or tax information within thirty (30) days of earning a commission may result in withheld or forfeited commissions.

Taxes

• Affiliates are solely responsible for all applicable taxes related to commissions earned.

6. RETURNS, FRAUD & ABUSE

• Commissions on refunded, canceled, or charged-back transactions are void.
• Previously paid commissions may be deducted from future payouts.
• The Company reserves the right to withhold or reverse commissions in cases of fraud or abuse, including but not limited to:
• Self-referrals
• Cookie stuffing
• Coupon or discount misuse
• Brand misrepresentation

Accounts under investigation may have payouts temporarily suspended.

7. SHIPPING & CUSTOMER LOCATION

• The Company ships products within the United States only.
• Orders with shipping addresses outside of the United States are not eligible for commission.
• Customer location eligibility is determined solely by the Company based on order and shipping records.

8. PROMOTION & BRAND GUIDELINES

Affiliates may:

• Use only approved brand assets and messaging
• Identify themselves as a “Sunday Soul Notes Affiliate”

Affiliates may not:

• Claim partnership, ownership, or endorsement
• Alter logos or brand assets
• Make false, misleading, or exaggerated claims
• Use paid advertisements that compete with Company advertising or use branded keywords

9. FTC & MARKETING COMPLIANCE

• Affiliates must clearly and conspicuously disclose their affiliate relationship in compliance with FTC guidelines.
• Disclosures must be visible and placed near promotional content.
• Acceptable disclosures include:
• “This post contains affiliate links.”
• “I may earn a commission from qualifying purchases.”

Disclosures may not be hidden or obscured.

10. EMAIL, SMS & OPT-OUT COMPLIANCE

• Affiliates may contact only individuals who have explicitly opted in.
• All communications must include a functional unsubscribe or opt-out option.
• Affiliates must promptly honor all opt-out and unsubscribe requests.
• Purchased or rented contact lists are strictly prohibited.

11. CONTENT & CLAIMS STANDARDS

• Content must align with the faith-centered values of Sunday Soul Notes, LLC.
• Affiliates may not make medical, mental health, or therapeutic claims.
• Personal experiences may be shared without implying diagnosis, treatment, or cure.

12. CONFIDENTIALITY

Each party agrees to protect confidential information and use it solely for purposes related to this Agreement.

13. INTELLECTUAL PROPERTY

All trademarks, content, and materials remain the exclusive property of Sunday Soul Notes, LLC.
Affiliates are granted a limited, revocable license solely for participation in the Affiliate Program.

14. NON-SOLICITATION

Affiliates agree not to solicit or recruit Company employees or contractors during the term of this Agreement and for twelve (12) months following termination.

15. TERM & TERMINATION

• Either party may terminate this Agreement with fifteen (15) days written notice.
• The Company may immediately terminate participation for fraud, material breach, unethical conduct, or actions that materially harm or may reasonably harm the brand.
• Upon termination, all affiliate links and brand references must be removed immediately.

16. FORCE MAJEURE

Neither party shall be liable for failure or delay caused by events beyond reasonable control, including acts of God, outages, government actions, or natural disasters.

17. LIMITATION OF LIABILITY & TRACKING DISCLAIMER

• Liability is limited to commissions earned in the twelve (12) months preceding the claim.
• The Company is not responsible for tracking failures caused by browser settings, cookie restrictions, ad blockers, device changes, platform outages, or other technical issues beyond its reasonable control.

18. INDEMNIFICATION

Affiliates agree to indemnify and hold harmless Sunday Soul Notes, LLC from claims arising from affiliate activities.

19. GOVERNING LAW & VENUE

This Agreement shall be governed by the laws of the State of Maryland, with exclusive jurisdiction in Baltimore County, Maryland.

21. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
